1. Acceptance of Terms
By accessing or using the website at rithaler-consulting.com (the “Site”), contacting Rithaler Consulting Services through any form, telephone, email, or other means, or purchasing any services, you (“you” or “Client”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Site or our services.
These Terms apply to all visitors, users, and clients of Rithaler Consulting Services, a trade name of 1470029 B.C. Ltd., a company registered in British Columbia, Canada (“Rithaler Consulting,” “we,” “our,” or “us”).
2. Services
Rithaler Consulting Services provides digital marketing services to local service businesses, including but not limited to:
- Web design and development
- Search engine optimization (SEO)
- Paid advertising management (Google Ads, Meta Ads)
- Digital marketing consulting
Specific services, deliverables, timelines, and fees are outlined in individual service agreements or proposals provided to each client. These Terms apply in addition to any such agreements.
3. SMS and Text Message Communications
By submitting a contact form, requesting a consultation, or otherwise providing your phone number to Rithaler Consulting Services, you expressly consent to receive SMS (text message) communications from us. These communications may include:
- Follow-up messages regarding your inquiry or service request
- Appointment reminders and scheduling confirmations
- Updates regarding your active services or campaigns
- Promotional messages about our services (where permitted by law)
Message frequency varies depending on your engagement with our services. Standard message and data rates may apply based on your mobile carrier and plan.
You may opt out of SMS communications at any time by replying STOP to any message you receive from us. After opting out, you will receive a single confirmation message. To re-subscribe, reply START. For assistance, reply HELP or contact us at info@rithaler-consulting.com.
We do not sell, share, or transfer your phone number or SMS opt-in data to third parties for their marketing purposes.
Our SMS communications comply with applicable Canadian law (Canada Anti-Spam Legislation, CASL) and U.S. law (Telephone Consumer Protection Act, TCPA) where applicable.
4. Email Communications
By providing your email address to Rithaler Consulting Services, you consent to receive email communications related to your inquiry, services, or business relationship with us. You may unsubscribe from marketing emails at any time by clicking the unsubscribe link included in each email or by contacting us directly at info@rithaler-consulting.com.
Transactional emails (such as service updates, invoices, and account notifications) may still be sent following an unsubscribe request where necessary to fulfill our contractual obligations.
5. Canada Anti-Spam Legislation (CASL) Compliance
Rithaler Consulting Services is subject to Canada’s Anti-Spam Legislation (CASL). Where required by CASL, we will only send commercial electronic messages (CEMs) — including emails and SMS messages — with your express or implied consent.
Express consent is obtained when you explicitly agree to receive communications, such as by checking a consent checkbox on a contact form or verbally agreeing during a consultation.
Implied consent may exist where you have an existing business relationship with us, such as having purchased services within the past two years or having made an inquiry within the past six months.
You may withdraw consent at any time by replying STOP to any SMS message, clicking unsubscribe in any email, or contacting us at info@rithaler-consulting.com. We will honour opt-out requests within 10 business days as required by CASL.
6. U.S. Telephone Consumer Protection Act (TCPA) Compliance
For clients and contacts located in the United States, Rithaler Consulting Services complies with the Telephone Consumer Protection Act (TCPA). By providing your U.S. phone number and consenting to receive communications, you agree that we may contact you using automated or pre-recorded messages or SMS, where applicable.
U.S. residents may opt out of SMS communications at any time by replying STOP. Opt-out requests will be honoured promptly. Message and data rates may apply.
7. Payment Terms
Payment terms for services are outlined in individual proposals or service agreements. Unless otherwise stated:
- Invoices are due within 14 days of the invoice date
- Late payments may be subject to a 1.5% monthly interest charge
- We reserve the right to pause or suspend services for accounts with outstanding balances
All prices are listed in Canadian dollars (CAD) unless otherwise stated. Clients outside Canada may be subject to currency conversion fees charged by their financial institution.
8. Intellectual Property
Upon receipt of full payment, clients receive ownership of the final deliverables created specifically for them (such as website designs and written content). Rithaler Consulting Services retains ownership of all tools, processes, templates, frameworks, and pre-existing intellectual property used in delivering services.
We reserve the right to display client work in our portfolio and marketing materials unless otherwise agreed in writing.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the business relationship. This includes business strategies, campaign data, financial information, and client lists. This obligation survives the termination of any service agreement.
10. Limitation of Liability
Rithaler Consulting Services provides digital marketing services with reasonable skill and care. However, we do not guarantee specific results such as search engine rankings, advertising performance, or lead volumes, as these depend on factors outside our control including market conditions, platform algorithm changes, and client-side factors.
To the fullest extent permitted by applicable law, Rithaler Consulting Services shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the use of our services. Our total liability to any client shall not exceed the total fees paid by that client in the three months preceding the claim.
11. Termination
Either party may terminate an ongoing service arrangement by providing 30 days written notice, unless otherwise specified in a service agreement. Upon termination, the client is responsible for fees incurred up to the termination date. We reserve the right to terminate services immediately in cases of non-payment, misuse, or breach of these Terms.
12. Privacy
The collection, use, and storage of your personal information is governed by our Privacy Policy, available at rithaler-consulting.com/privacy-policy-2/. By using our Site or services, you consent to the practices described in the Privacy Policy.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.
Where clients are located in the United States, we will make reasonable efforts to comply with applicable U.S. federal and state laws. Nothing in these Terms limits the rights of U.S. consumers under applicable consumer protection laws.
14. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our Site or services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
